Terms and Conditions
These terms and conditions apply to all products and services sold by
LilyTronics.
These terms apply to all offers, quotations, invoices and
agreements unless explicitly agreed otherwise in writing.
2. Definitions
2.1. LilyTronics: refers to the company and their employees responsible for delivering products and services sold to the customer.
2.2. Customer: an individual or employee of a company that purchasing products and services from LilyTronics.
2.3. Products and services: products and services in the field of electronics design or related to that. Products can be designed by LilyTronics or can be OEM products.
2.4. Deliverables: the result of the design service. These are design files, files for manufacturing, actual prototypes and so on. The deliverables will be defined in the agreement between LilyTronics and the customer.
2.5. Order: a sales order or quotation from LilyTronics regarding products and services.
2.6. Invoice: invoice specifying the amount and payment for the products and services as agreed on in the order.
3. Orders
3.1. Orders are only send out to the customer by email. Only the official email address of LilyTronics are used (ending with lilytronics.nl).
3.2. Orders are valid for 30 days unless otherwise specified in the order.
3.3. Orders only apply to products and services of LilyTronics.
3.4. Before acceptance the customer is responsible for reviewing the order. Once accepted, the order is binding.
3.5. Orders can be changed after acceptance in agreement with the customer and LilyTronics. The old order will be invalidated and a new sales order will be created.
3.6. Orders placed through the web shop, are accepted by default. The customer is responsible for reviewing the order before submitting.
3.7. Orders paced through the web shop can be cancelled when they are not yet shipped. The customer is responsible for placing a new order after cancellation if needed.
4. Deliverables
4.1. Deliverables are delivered at the specified date.
4.2. Deliverables are delivered in the specified format.
4.3. Deliverables are reviewed by LilyTronics before delivery.
4.4. Deliverables must be reviewed by the customer within 30 days.
4.5. Any requests for adjustments in the deliveries must be requested within 30 days after receiving the deliverables.
4.6. LilyTronics hold the right to hold back deliverables for any reason they see fit.
5. Pricing and payment
5.1. Prices exclude VAT and shipping unless stated otherwise.
5.2. Payment terms are 15 days, unless otherwise specified in the invoice.
5.3. Upon late payment a reminder is send to the customer.
5.4. In case the payment is still not received after 7 days after the reminder, all ongoing orders are put on hold until the payment is received.
5.5. Orders that cover a services that takes longer than one month, a monthly invoice is send and should be paid according to the terms and conditions above.
5.6. In case of structural lack of payment, any agreements will be terminated and all ongoing orders will be cancelled and the customer will be blacklisted.
6. Delivery of products
6.1. LilyTronics is responsible for the complete shipment from LilyTronics to the customer.
6.2. Shipment is carried out by external parties and LilyTronics has no influence on the delivery time. A track and trace will be provided to the customer.
6.3. LilyTronics maintains ownership of the products during shipment.
6.4. When the customer accepts the shipment, the ownership is transferred to the customer.
6.5. The customer is responsible for the product after accepting the shipment.
6.6. The customer is responsible for checking the shipment before accepting. In case of any damage the customer must send back the shipment immediately before accepting.
6.7. If the customer accepts the shipment when damaged, the customer is responsible for all costs incurred.
6.8. LilyTronics does not accept any liability claims when a shipment is delivered too late.
7. Intellectual property
7.1. All designs created by LilyTronics are protected by copyright.
7.2. It is prohibited to sell or use the designs or part of the designs other than for the purpose of which the design is created.
7.3. Written permission must be obtained from LilyTronics, when the customer wishes to use the design or part of the design for other purposes.
8. Warranty and liability
8.1. All products designed by LilyTronics have a 5 year warranty period.
8.2. All OEM products sold by LilyTronics have a 1 year warranty period.
8.3. Warranty applies only if the product is used for its intended use and not used outside the specifications of the product.
8.4. In case there is any suspicion and/or proof the product is not properly used, the customer is informed and all warranties will be discarded.
9. Returns
9.1. The customer has the right to send back products and get a full refund within 14 days after delivery. The delivery date is the date that is provided by the shipping service (track and trace). This only applies to undamaged products. Refunds will be paid out within 14 days after the products are received (track and trace date).
9.2. Prior to returning products, the customer must contact LilyTronics and get confirmation before send back products.
9.3. LilyTronics holds the right to refuse shipments that are unannounced.
9.4. LilyTronics holds the right to payout a partial refund incase the products are damaged.
9.5. The customer is responsible for the shipping from the customer to LilyTronics.
9.6. LilyTronics holds the right to send back the return in case it is damaged during shipment.
9.7. Returns do not apply to digital downloads.
9.8. Deliverables of design services can not be returned.
10. Repairs
10.1. Repairs must be announced prior to sending.
10.2. The terms and conditions for returns apply to products that are returned for repairs.
10.3. LilyTronics will always propose to repair the product instead of replacing it.
10.4. Before repair LilyTronics will do an investigation on the product and will inform the customer about what is the defect, how it will be repaired and what the costs are.
10.5. Repair orders are handled the same as sales orders and therefore the terms and conditions of orders apply to repair orders.
10.6. Deliverables of design services are exempt from repairs.
11. Force Majeure
11.1. Any unforeseen events that are out of the control of LilyTronics like natural disasters, supply chain disruptions exempt you from liability.
12. Data protection
12.1. The customers personal data is stored in the LilyTronics business software and will only be used for processing of orders and communication regarding orders.
12.2. The customers data can be requested at all times.
12.3. The customer has the right to request to remove all data from our systems.
13. Governing law
13.1. LilyTronics is located in the Netherlands. Therefore all Dutch laws applies and any disputes are resolved in the competent court in the Netherlands.
14. Change of terms and conditions
14.1. LilyTronics holds the right to change these terms and conditions without any notification.
14.2. When a written agreement for a service is made, a copy of the terms and conditions that are valid at that time, is added to the agreement. These terms and conditions will apply to the agreement until the agreement is closed.
Any changes in terms and conditions will not apply to ongoing orders and shipments, only for new orders created after the changes.
